Parties to the Agreement
Green County Spotlight LLC (referred to herein as "GCS, we, our, us") is the web-development company responsible for developing GreenCountySpotlight.com and GCS is the legal owner or licensee of all original code used to operate this website. GCS operates this website for the express benefit of individuals, businesses, organizations and other entities in the Green County Wisconsin area as a service to the communities located in this geographic region.
While GreenCountySpotlight.com receives support (monetary support as well as other types of support) from a wide variety of local entities, Green County Spotlight LLC is the sole operator of this website.
Green County Spotlight LLC provides a variety of free services to LOCAL individuals, businesses, governments and organizations via this website and its companion website (GreenCountyEvents.com) including free membership services, subject to the following terms and conditions (the "Terms of Service" or "TOS").
When accessing the website as an anonymous user, the terms "you" and "your" refer to the person accessing this website.
When applying for or using "Individual" membership services, the terms "you" and "your" refer to the person who applies for and/or uses Individual membership services.
When applying for or using "Business" membership services, the terms "you" and "your" refer to the business named on the submitted Business membership application and any agent of that business who either submits the Business membership application or subsequently uses any associated Business membership services.
When applying for or using "Organization" membership services, the terms "you" and "your" refer to the Organization or government entity named on the submitted Organization application and any agent of that organization who either submits the Organization membership application or uses any associated Organization membership services.
When applying for or using "Farm" membership services as a business, the terms "you" and "your" refer to the farm business named on the Farm membership application and any agent of that farm business who either submits the Farm membership application or uses any associated Farm membership services.
When applying for or using Farm membership as an individual, the terms "you" and "your" refer to the person named on the submitted Farm membership application.
This is an agreement between "you" and Green County Spotlight LLC with a primary business location at 214 East Coates Avenue, Monticello, WI 53570. By accessing this website or using any of our services, including free membership services, you agree to accept and abide by these terms and conditions. If you do not agree with these terms and conditions, we regretfully deny you access to our website and the services it provides.
Local Community Memberships
When applying for membership at GreenCountySpotlight.com, you represent and warrant that you are at least 18 years of age and able to enter into a binding agreement.
Furthermore, when you apply for a membership on behalf of a business (including a farming business), government entity or organization, you are representing that you have the authority and permission necessary to bind the business or organization applying for and/or using that membership and related services.
While this website focuses principally on life in Green County, Wisconsin, it is important to recognize that community does not just come to an abrupt halt at the county line and that the people and the landscape look pretty much the same on one side of the line as they do on the other. For this reason, the following communities are considered "local communities" for the purpose of membership at greencountyspotlight.com.
Individuals living in or near, having ties with, or meaningful associations with the above local communities are eligible for free Individual membership at greencountyspotlight.com.
Businesses with a physical location in the above local communities are eligible for free Business membership at greencountyspotlight.com.
Non-profit organizations, government entities, clubs, associations, guilds, societies, etc. with a physical location in the above local communities are eligible for free Organization membership at greencountyspotlight.com.
Farmers and farm business entities in or near the above local communities are eligible for free Farm membership at greencountyspotlight.com.
All other individuals and entities are ineligible for membership at this time and may not use our membership services.
In consideration for your use of our membership services, you agree to:
Cancelling Membership
You may cancel your membership at any time. To cancel your membership, contact us via the Member Support page and ask us to remove your account. We will send you a verification email, which you must reply to before we can delete your account.
Membership Termination
You agree that Green County Spotlight LLC may, terminate your membership and access to our services without prior notice. Causes for such termination shall include, but are not limited to breaches or violations of this TOS or other agreements, modification, or discontinuation of our services, technical or security issues related to our services, and/or extended periods of member inactivity (18 months or more).
You agree that GCS shall not be liable to you or any third party for the termination of your account or access to our services for any reason.
Classified Advertising, Blog Postings, Coupons, Events and Other Content Submitted by You for Publication to this Website
GreenCountySpotlight.com is an information and communication platform designed to bring people together in and around the Green County area of Wisconsin. To this end, we offer free classified advertising services, business coupon publishing, member web page publishing, user blogs, user photo galleries/albums and other communication services for people, businesses, governments and other organizations in our local communities. By using these services, you agree to accept and abide by the terms and conditions in this section.
You must be 18 years of age to use any GreenCountySpotlight.com membership service including public communication services.
GCS does not have control over who reads or responds to public communications posted by you but you must be a member of GreenCountySpotlight.com to use these services.
Public communications must be appropriate for all viewing ages and listed in the most appropriate area of the site for the content of the communication.
Posting the same ad in two or more categories of the classifieds at the same time or more than once in the same category at any given time is "spamming the classifieds" and prohibited. This includes rewording an ad to make it different from the original but not changing the essential meaning or purpose of the ad.
You may post as many classified ads, blog postings, photos or other content as you desire provided (in the determination of GCS) that you do not abuse the service. GCS alone shall determine instances of abuse.
You understand and agree that GCS is not a party to any Classified Advertising transaction including, but not limited to, sales, trades, employments, rentals, and free exchanges. Sellers, buyers, employers, job seekers, property owners and renters and those involved in free exchange or barter are completely responsible for working out all the details of each transaction, bearing any costs related to the transaction, resolving any disputes arising out of the transaction, and understanding and complying with any laws, regulations, or restrictions pertinent to the transaction.
We have the right to pre-screen content posted via our communication services but are under no obligation to do so and we may, at our own discretion, refuse or remove any ad content, including photos, submitted to these services.
You acknowledge and agree that GCS is not responsible for the completeness or accuracy of any ad content, blog posting or other member communication. You also agree that you are responsible for evaluating all content on the site and that you bear all risks pertaining to your use of any such content posted via these services including your reliance on the accuracy or completeness of the content.
Coupon Publication
When you publish coupons or other sales announcements via the GreenCountySpotlight.com coupon publishing system, you agree that you have the authority to post the coupon and contained information/offer on behalf of the business or organization identified in the coupon and that that furthermore, the business or organization represented in the coupon agrees to honor all such coupons subsequently generated from this website and our partner websites whenever presented for redemption in accordance with the timeframes, locations, restrictions, amounts and other details of the coupon.
You understand and agree that Coupons posted to the GCS coupon system may be published to other websites that have permission from GCS to do so. At the current time, the following websites have permission to display coupons generated via the GCS coupon system.
Event Publications
Event notices sent to GreenCountySpotlight.com are posted to the site via the shared community event system housed at GreenCountyEvents.com. This system allows for the sharing of event information on numerous websites across the Green County area (providing wider exposure for your events). You agree that event information submitted to GreenCountySpotlight.com may be posted to this system and shared with other participating websites in the Green County area.

Member Photo Galleries and Photos Submitted to GreenCountySpotlight.com
All GreenCountySpotlight.com members in good standing may create a member photo gallery for images and other media they would like to share with the community. When posting photos or other media to your member gallery or submitting media to GCS via any means, you warrant that you are the copyright holder of any images/media you post or that you have the permission of the copyright holder to share the image(s)/media with Green County Spotlight LLC. By posting, uploading, inputting, providing or submitting images to this website you agree to grant Green County Spotlight LLC license to use your submitted photo or media in connection with the operation of this website including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your submitted photos; and to publish your name or GreenCountySpotlight.com screen name in connection with your photo submission.
Copyrights to all images/media submitted to GreenCountySpotlight.com are held by the respective photographers and artists that created those images/media. Viewers may download any image for personal, non-commercial use only and you may not display or reproduce said images/media on the web or in any other medium including but not limited to posting on another website or framing our galleries or user images/media on another website. Commercial use of images displayed on GreenCountySpotlight.com is prohibited. "Commercial Use" includes any reproduction or distribution of said images/media for monetary gain or any action or transaction that claims to transfer any rights to these images to any other party including you.
If you feel an image/media item should be removed for any reason (including but not limited to your privacy or copyright concerns), please contact us here with your concerns or objections. We will review your concern and take action as appropriate. Please include any permanent link or url that will help us identify the image/media in question.
You agree that no compensation will be paid with respect to any use of images/media you submit to this website. Green County Spotlight LLC is under no obligation to post or use any content (including images or other media) you may provide and may remove any such content at any time in Green County Spotlight LLC's sole discretion.
Personal Information and Communications
We highly recommend that you do not post your email address in any public communication. Doing so can have undesirable consequences and it is not necessary to do so. The classifieds system allows you to receive email from ad respondents without divulging your email address in public and managers/editors of custom listings in the community guide can set up contact forms for the public to initiate contact without revealing manager's/editor's email address. When using this method of contact, the respondent will only know your email address when you reply to them via email.
You agree that you are responsible for any personal information (including, but not limited to, your name, telephone numbers, email addresses, and postal information) you may choose to publish in any public communication you send via our service. You also agree that you bear all risk associated with your publication of any such information and that Green County Spotlight LLC bears no responsibility for your decision to publish such information in a public setting.
When you post a classified ad or set up email communications via a custom listing in the community guide, you agree that we may send you (via email) the replies that users post on our system in response to your ad or custom listing. In doing so, we will not divulge your email or any other personal information to any third party. Green County Spotlight LLC reserves the right to monitor emails sent through our system to screen for abuses such as spamming though we also reserve the right to not monitor such communications as well.
You agree not to publish any other person's personal information.
Posting Restrictions
While the above list provides many examples, it is not all-inclusive and GCS reserves the right to remove any content (in its sole discretion) that it deems inappropriate for publication on this website.
Personal Privacy
GCS understands and respects our user's needs for privacy and we have prepared a Privacy Policy so that you can understand our guiding principles regarding the collection and use of personal information. Our Privacy Policy is viewable at the following URL:

Electronic Communications
This agreement and incorporated Privacy Policy are in electronic form. Whenever we send you information in connection with our services (such as member announcements or service updates) or when required by law to send you information, you agree that we may do so in electronic form (i.e. posting information on our website or sending information to you via e-mail). You agree that notices provided to you via e-mail are considered delivered upon our transmission of the notice to you and notices provided to you via posting to our website are considered delivered at the date and time of posting. You have the right to withdraw this consent at any time, but if you do, we may cancel your free account. Please note: WE WILL NEVER SPAM YOU OR PURPOSELY EXPOSE YOU TO SPAM, EVER!
Server Log Files and IP Addresses
Each time you access our website, the web server stores various information about your visit including the IP address you use to access the website, the page you came from or search engine you used to get to our site (if any), what type of browser you are using, what operating system you are using, and so on. Dealings With Advertisers
Your business dealings or correspondence with, or participation in promotions of, advertisers found on or through our website, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that GCS shall not be liable for any loss or damage incurred as the result of any such dealings.
Amendments
We may update or amend this TOS from time to time without any prior notice to you except that we will always post the updated or amended TOS to the following URL prior to implementing any such updates or amendments.

Indemnity
You will indemnify and hold us (and our officers, directors, agents, and employees), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this TOS, or your violation of any law or the rights of a third party.
Liability
We will not be held liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use or misuse of this website and associated services including any communications sent to or from this website.
If a court of competent jurisdiction finds us liable to you or to any third party, our liability is limited to the greater of (a) the total fees you paid GCS in the 12 months prior to the filing date of the action, or (b) $100.

Our services are provided on an "as is" and "as available" basis. We make NO WARRANTY as to the availability of our services or the suitability of our services for any given purpose.

We make NO WARRANTY as to the validity, timeliness, completeness, or usefulness of any information posted on this site and we expressly deny and disclaim responsibility for anyone's use or disuse of information contained on this website.
WE EXCLUDE ALL IMPLIED WARRANTIES, TERMS, AND CONDITIONS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Law and Forum
This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States of America, without regard to its conflicts of law provisions.
You agree that any action or proceeding regarding the subject matter of this TOS must be filed in the Green County Circuit Court located in Monroe, Wisconsin and that you and GCS waive any objection to jurisdiction and venue in said court.
The failure of GCS to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
Statute of Limitations
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, or related to, your use of our services or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred. This applies to you, your successors, and your assigns. It also applies to GCS, our successors, and our assigns.
Non-Transferability
Neither this TOS, nor any of your rights or obligations arising hereunder, shall be transferable or assignable by you to any third party without the prior written consent of GCS. GCS shall have the right to assign all or part of its rights and obligations under this TOS.
